EasyNDA

Terms of use

Last updated 5 November 2026

These terms apply when you use EasyNDA (the “service”), operated by EasyNDA (“we”, “us”). By using the service you agree to them.

1. What EasyNDA does

EasyNDA lets you create non-disclosure agreements from templates or your own wording, sign them electronically, send them to others to sign, and store them. We provide the software. We are not a party to any NDA you create, and we are not a law firm.

2. Templates are not legal advice

Our templates are general starting points prepared in good faith. They may not suit your situation. You choose whether to use our templates or your own wording, and you are responsible for checking that an agreement meets your needs. If in doubt, get advice from your own lawyer. To the extent the law allows, we accept no liability for the content, effect or enforceability of any agreement created with the service, whether you use our templates or your own text.

3. Business use

The service is provided for business purposes. If you use it on behalf of an organisation, you confirm you are authorised to bind it. Where you are in trade, the parties agree that the Consumer Guarantees Act 1993 and sections 9, 12A, 13 and 14(1) of the Fair Trading Act 1986 do not apply, and that this is fair and reasonable.

4. Electronic signatures

When you sign through EasyNDA, you agree that your typed name, together with the audit record we keep (time, IP address, device, verified email address and a fingerprint of the document), is your electronic signature and shows your approval of the document.

5. Your account and content

6. Availability and changes

The service is currently free. We may introduce paid features in future and will tell you before anything you use starts to cost money. We aim for the service to be reliable but it is provided “as is”. Download copies of agreements that matter to you.

7. Liability

To the extent permitted by law, we are not liable for any indirect or consequential loss, and our total liability to you for any claim is limited to NZ$100.

8. General

We may update these terms and will post the new version here. These terms are governed by New Zealand law. Questions: hello@easynda.nz.
